Company status meanings: dissolved, in liquidation, delinquent and more

What each register status means, how the Prometiam API standardises it across the countries it covers, and what it means for doing business with the company.

A company register does not say “active” or “gone” in the same words everywhere: Spain has a dissolved company that still exists, the UK has a dissolved company that does not, and a US state has a company that is delinquent. The Prometiam API returns one standard status in every country and keeps the register’s own word in local_status. This hub explains the standard values; one guide per country translates that register’s wording.

Same word, different meaning

In Spain and France “dissolved” (disolución, dissoute) opens a liquidation and the legal person survives until it is struck off, so the API returns in_dissolution. In the United Kingdom, Ireland, Poland and Norway “dissolved” means the company has been removed and no longer exists, so the API returns deregistered. In a US state, “administratively dissolved” means the state ended the entity, usually for non-compliance, and the API returns deregistered too. Always read status, not the raw word.

Company status by country

Insolvency notices are a separate dataset

A bankruptcy can show in status and also as an insolvency notice. Insolvency notices cover corporate proceedings only, in twelve markets: FR, DE, GB, AT, CH, NO, FI, US, NL, DK, HR and SE. Spain’s concursal data is on /search. Contains CVR data (Erhvervsstyrelsen), CC BY 4.0.

Frequently asked questions

What does administratively dissolved mean?
In a US state it means the state itself ended the company, without a court, usually because it missed a periodic report or lost its registered agent. The Prometiam API returns it as status "deregistered" with the register’s word in local_status. Some states let the company be reinstated.
What does delinquent mean for a company?
In Colorado a delinquent (or noncompliant) entity is still on the register but out of compliance, for example with a late periodic report. It has not been dissolved. The API returns it as status "active" with local_status "delinquent".
What does konkurs or konkurz mean?
Konkurs (Norwegian, Swedish, Danish), konkurssi (Finnish) and konkurz (Slovak) are bankruptcy. The API returns a company in bankruptcy as status "in_liquidation_insolvent", because a bankrupt company is being wound up to pay its creditors.
What does a company in liquidation mean, for example GmbH in Liquidation?
It is being wound up and no longer trades normally. In Switzerland the register marks it in the company name (in Liquidation, en liquidation, in liquidazione), and the API returns status "in_liquidation".
Is a dissolved company gone?
It depends on the country. In Spain and France a dissolved company still exists until it is struck off (status "in_dissolution"); in the UK, Ireland, Poland, Norway and the US a dissolved company has been removed (status "deregistered").
